Solvay Pharmaceuticals S.A. launches friendly bid to acquire Innogenetics(1)

Building on a successful R&D co-operation

Solvay Pharmaceuticals S.A., a subsidiary of Solvay, the chemical and pharmaceutical group, and Innogenetics N.V., the biotechnological company, today jointly announced that Solvay Pharmaceuticals S.A. will make a conditional tender offer to acquire Innogenetics in a cash transaction valued at EUR 5.75 per share.

Solvay initially entered into an R&D co-operation with Innogenetics in 1997 and has been implementing Innogenetics’ technologies in its own drug discovery efforts. In the context of this long-standing relationship, Solvay historically holds a shareholding in Innogenetics (6.77%).

Solvay endorses Innogenetics’ recent strategic decision to focus on diagnostics activities and to divest its subsidiary GENimmune, which develops novel immune therapeutics. Solvay intends to preserve the operational autonomy of Innogenetics, while continuing the development and expansion of the company’s diagnostics business. In addition, both companies’ R&D competencies will be leveraged to accelerate the development of Solvay’s therapeutic pipeline through the implementation of biomarker, diagnostics and eventually companion diagnostics technologies.

“Following the recent refocusing of Innogenetics’ activities, the time has now come to take our long-standing relationship to a new level,” said Werner Cautreels, CEO, Solvay Pharmaceuticals. “The business model would be based on the expansion of Innogenetics’ diagnostics business and on our belief that the future of drug development lies in the design of personalized treatments with improved safety and efficacy. Adding Innogenetics technologies to Solvay’s Research programs will help identify the best possible treatment for different patient groups,” he added.

The proposed transaction is expected to close in the second calendar quarter of 2008 and is subject to the following closing conditions:

• approval by the competent competition authorities; 
• no material adverse change in connection with Innogenetics resulting in a loss exceeding EUR 10 million; and 
• an acceptance threshold of at least 90% + 1 of the outstanding shares of Innogenetics, which can be reduced to 75% + 1 share, subject to a modification in the articles of association (to introduce a “one share, one vote” principle, without any voting restrictions whatsoever).

The transaction value is €177.6 million for 100% of the outstanding shares. This represents a 53% premium to the closing price of 23 April, 2008 and a 42.8% premium to the volume average prices of Innogenetics shares over the preceding month. In addition, as part of the offer, Solvay will offer to purchase based on the offer price, the Innogenetics warrants and convertible bonds.

The board of directors of Innogenetics unanimously considers the offer to be friendly and supports it, subject to review of the takeover prospectus of Solvay and of the advice of the Works Council of Innogenetics. The board will explain its support in more detail in the memorandum of reply which it will issue in accordance with article 22 of the Belgian Takeover act of April 1, 2007. Pending the takeover bid, the board of directors of Innogenetics intends to continue to implement its earlier decision with respect to the restructuring and/or divestiture of its subsidiary GENimmune.

The reference shareholders of Innogenetics (Rudi Mariën, Biovest CVA, Marigest Holding SA, S.A.T.E. SA and Gengest BVBA), who jointly hold 18.48% of the shares of the company, have committed to tender their shares to Solvay in the tender offer.

Petercam SA/NV has acted as advisor to Solvay and will act as centralizing agent in the offer.

Solvay Pharmaceuticals S.A., filiale du groupe chimique et pharmaceutique Solvay, et l’entreprise de biotechnologie Innogenetics N.V. annoncent conjointement aujourd’hui que Solvay Pharmaceuticals S.A. va procéder à une offre conditionnelle pour l’acquisition d’Innogenetics, dans le cadre d’une transaction en numéraire valorisée à 5,75 EUR par action.

A l’origine, Solvay a entamé une collaboration de recherche et développement avec Innogenetics en 1997 et a depuis lors mis en œuvre les technologies d’Innogenetics dans ses propres efforts de découverte de nouveaux médicaments. Dans le contexte de cette relation de longue date, Solvay détient une participation historique dans Innogenetics (6,77%).

Solvay appuie la décision stratégique récente d’Innogenetics, visant à se concentrer sur les activités de diagnostic et à céder sa filiale GENimmune, qui développe des thérapies immunitaires innovantes. Solvay entend préserver l’autonomie opérationnelle d’Innogenetics, tout en poursuivant le développement et l’expansion des activités de diagnostic de l’entreprise. «Suite au recentrage récent des activités d’Innogenetics, le temps est maintenant venu d’élever notre relation de longue date à un autre niveau,» a indiqué Werner Cautreels, CEO de Solvay Pharmaceuticals. «Le modèle d’entreprise s’appuierait sur l’expansion des activités diagnostic d’Innogenetics et sur notre conviction que l’avenir du développement de nouveaux médicaments, c’est la conception de traitements personnalisés avec une sécurité et une efficacité améliorée. En combinant les technologies d’Innogenetics avec les programmes de recherche de Solvay, nous contribuerons à identifier le meilleur traitement possible pour différents groupes de patients, » a-t-il ajouté.

La transaction proposée devrait être achevée dans le second trimestre de 2008 et est soumis aux conditions suivantes:

• approbation par les autorités compétentes de la concurrence ;
• aucune modification négative importante, liée à Innogenetics, résultant en une perte excédant 10 millions d’EUR ;
• un seuil d’acceptation d’au moins 90% +1 action d’Innogenetics, pouvant être réduit à 75% + 1 action, à condition d’une modification des statuts d’Innogenetics (« l’introduction du principe « une action, une voix », sans aucune restriction.

La transaction est valorisée à 177,6 millions d’EUR pour 100% des actions en circulation. Cela représente une prime de 53% par rapport au cours de clôture du 23 avril 2008 et une prime de 42.8% sur le prix moyen des actions d’Innogenetics, pondéré en fonction du volume des échangées au cours du mois précédent. En outre, dans le cadre de l’offre, Solvay proposera d’acheter au prix de l’offre les warrants et les obligations convertibles d’Innogenetics.

Le Conseil d’administration d’Innogenetics estime à l’unanimité que l’offre est amicale et la soutient, sous réserve de l’examen du prospectus d’acquisition de Solvay et de l’avis du Comité d’entreprise d’Innogenetics.

Le Conseil d’administration motivera son soutien de façon plus détaillée dans le mémorandum de réponse qu’il publiera en accord avec l’article 22 de la loi belge sur les offres publiques d’achat du 1er avril 2007. Dans l’attente de l’offre d’achat, le Conseil d’administration d’Innogenetics entend poursuivre la mise en œuvre de sa décision antérieure relative à la cession et/ou la restructuration de sa filiale GENimmune.

Les actionnaires de référence d’Innogenetics (Rudi Marën, Biovest CVA, Marigest Holding SA, S.A.T.E. SA et Gengest BVBA), qui détiennent conjointement 18,48% des actions de l’entreprise, se sont engagés à apporter leurs titres à Solvay dans le cadre de l’offre.

Petercam SA/NV a conseillé Solvay et agira en tant qu’agent centralisateur dans le cadre de cette offre.

Bouwend op een succesvolle R&D samenwerking

Solvay Pharmaceuticals N.V., een filiaal van de chemische en farmaceutische groep Solvay, en het biotechnologie bedrijf Innogenetics N.V. kondigen vandaag gezamenlijk aan dat Solvay Pharmaceuticals N.V. een voorwaardelijk openbaar bod voor de overname van Innogenetics zal lanceren. Het gaat om een cash transactie aan EUR 5.75 per aandeel.

Solvay sloot in 1997 een R&D samenwerkingsakkoord met Innogenetics en integreert sindsdien de technologieën van Innogenetics in zijn eigen R&D activiteiten. In het kader van deze samenwerking heeft Solvay een historisch belang in Innogenetics (6,77%).

Solvay onderschrijft de recente strategische beslissing van Innogenetics om zich toe te leggen op de diagnostics activiteiten en zijn filiaal GENImmune, actief in immuun therapieën, af te stoten. Het is Solvay’s intentie om de operationele autonomie van Innogenetics te behouden, en de ontwikkeling en expansie van de diagnostics activiteiten voort te zetten. Daarenboven zullen de R&D competenties van beide bedrijven worden aangewend om de ontwikkeling van Solvay’s therapeutische pipeline te versnellen door de toepassing van biomarkers, diagnostics en uiteindelijk ook zogenaamde “companion” diagnostics technologieën.

“Na de recente strategische heroriëntatie van Innogenetics is de tijd nu rijp om onze langdurige samenwerking naar een nieuw niveau te brengen,” zei Werner Cautreels, Algemeen Directeur van Solvay Pharmaceuticals. “Het bedrijfsmodel zal steunen op de expansie van Innogenetics’ diagnostics activiteiten en onze overtuiging dat de toekomst van de geneesmiddelenontwikkeling ligt in het ontwerp van gepersonaliseerde behandelingen met een verhoogde veiligheid en doeltreffendheid. De combinatie van Innogenetics’ technologieën met Solvay’s research programma’s zal bijdragen tot het identificeren van de best mogelijke behandeling voor verschillende groepen van patiënten.

De voorgestelde transactie zal waarschijnlijk worden afgerond in het tweede kwartaal van 2008 en is onderhevig aan volgende voorwaarden :

• Goedkeuring door de bevoegde autoriteiten;
• Geen belangrijke negatieve veranderingen die zouden leiden tot een verlies van meer dan EUR 10 miljoen en 
• Een aanvaardingslimiet van minstens 90% + 1 van de uitstaande aandelen van Innogenetics, die kan worden verlaagd tot 75% + 1 aandeel, afhankelijk van een statutenwijziging (met introductie van het “één aandeel, één stem” principe zonder beperking van het stemrecht in de statuten van Innogenetics).

De waarde van de transactie is €177,6 miljoen voor 100% van de uitstaande aandelen en betekent een premie van 53% tegenover de slotkoers van 23 april 2008 en een premie van 42.8% in vergelijking met de volumegewogen gemiddelde slotkoers van het Innogenetics aandeel tijdens de laatste maand. Als onderdeel van het bod zal Solvay ook aanbieden om de uitstaande warrants en converteerbare obligaties van Innogenetics over te nemen.

De Raad van bestuur van Innogenetics beschouwt dit overnamebod unaniem als vriendschappelijk en steunt het, behoudens kennisname van het overnameprospectus van Solvay en van het advies van de Ondernemingsraad van Innogenetics. De Raad van Bestuur zal zijn steun verder toelichten in de het memorandum van antwoord dat hij zal publiceren in overeenstemming met artikel 22 van de wet op de openbare overnamebiedingen van 1 april 2007. In afwachting van het overnamebod is de Raad van Bestuur van Innogentics van plan om zijn vroeger besluit in verband met de herstructurering en/of verkoop van zijn filiaal Genimmune verder uit te voeren.

De referentie aandeelhouders van Innogenetics (Rudi Mariën, Biovest CVA, Marigest Holding SA, S.A.T.E. SA and Gengest BVBA) die samen 18.48% van de aandelen aanhouden, hebben toegezegd met hun aandelen in te gaan op het overnamebod van Solvay.

Petercam SA/NV was raadgever van Solvay en zal tijdens het overnamebod optreden als centraliserende instelling.
